                  Ladies  and  Gentlemen:


                  Reference    is made   to that  certain Pooling   and   Servicing   Agreement,    dated  as of  April   1, 2007
                  (the  "PSA"),    among    Nomura    Asset   Acceptance     Corporation,    as depositor,   Nomura    Credit   &
                  Capital,  Inc.,  as  sponsor,   GMAC      Mortgage,    LLC,    as  servicer,  Wells   Fargo   Bank,   National

                  Association,    as master   servicer  and   securities  administrator,   and  HSBC     Bank   USA,    National

                  Association,   as trustee  (the "Trustee").    Capitalized   terms  used  but not  defined  herein  shall  have
                  the meaning    set forth in the PSA.


                  Please  be  advised   we   are in receipt  of the  notice  attached   hereto  as Exhibit   A  (the  "Notice   of

                  Breach"),    which   alleges  that certain  Mortgage    Loans   breached    one  or more   representations    or
                  warranties   set forth in the PSA   and  the Mortgage    Loan   Purchase   Agreement.


                  Pursuant   to Section   2.03(c)  of the  PSA   and  the direction  contained   in  the Notice   of Breach,   the
                  Trustee   hereby  gives  notice  of the  Notice  of  Breach.    In accordance    with  Section  2.03(c)  of  the

                  PSA,   the Sponsor   is to cure  or otherwise   address  the alleged  breaches   referenced   in the Notice   of
                  Breach   within  90  days  from  the date  hereof.


                  Please  note  that the Trustee  has  not conducted    any  independent    review  of the  facts asserted  in the
                  Notice   of Breach   and  makes   no  representations    as to the  accuracy   of the  information   contained
                  therein.


                  Nothing   herein   is intended   to, or  shall, waive   any  term  or  provision   of the  PSA   or  any  other
                  transaction   document,    or  any  rights  of  the  Trustee  thereunder,    all of  which   are  hereby   fully
                  reserved.

                          American   International Group Inc. and certain of itssubsidiariesown  Certificatesissued pursuant
                  to thatcertain Pooling and Servicing  Agreement,  dated as of April 1, 2007 (the"PSA"),  by  and among
                  Nomura   Asset Acceptance   Corporation, as Depositor, Nomura   Credit & Capital, Inc.,as Sponsor,  GMAC
                  Mortgage,  LLC,  as a Servicer,Wells  Fargo Bank,  N.A., as SecuritiesAdministrator  and Master  Servicer
                  and HSBC   Bank  USA,   National Association, as Trustee. Capitalized terms used herein but not defined
                  herein shallhave  themeanings   ascribed to such terms in thePSA.


                          We  hereby  provide notice tothe Trustee that each of the Mortgage  Loans  referenced on Exhibit  A
                  hereto (the "Subject Loans")  breaches  one or more  ofthe representations and warranties  regarding the
                  Mortgage  Loans  made  by the Sponsor  under the PSA  and  theMortgage   Loan  Purchase Agreement   and
                  each such breach,  as more fully setforthon Exhibit D  hereto,materially and adversely  affectsthe value of
                  the Subject Loan  and the interestthereinof theCertificateholders. Exhibit A  identifies469Subject  Loans
                  with an originalprincipal balance  of$127.394.239.   Specific information  regarding the nature of the
                  breaches isset forthin Exhibit  E hereto (which  is containedin the enclosed computer  CD).   Also included
                  herewith as a courtesy is Exhibit C, a second computer  CD  containing  materialsrelated to the
                  aforementioned   breaches.


                          Section 2.03(c) of the PSA  expressly requires the Sponsor  torepurchase  the Subject Loans  within
                 90 days after itreceives notice thereof ifthe referenced breaches  are notcured  within such 90-day  period.
                 Section 2.03(c)  of thePSA   alsoobligates the Trustee to promptly  notifythe Sponsor  and the other parties
                 to thePSA   ofsuch  breaches and request  thatthe Sponsor  eithercure such breaches  or repurchase the
                 Subject Loans  within the above-referenced  timeframe.  However,   since each of the Subject Loans  caused
                 at leastone breach that isnot susceptible to cure,the Sponsor  must repurchase  allof the Subject Loans
                 within 90 days  ofreceiving notice thereof. We  fully expect thatthe Trustee will comply  with its
                 obligations under the PSA,  including, without limitation,the obligation topromptly  provide  notice tothe
                 Sponsor  and to enforce the Sponsor's  repurchase obligations under  the PSA.


                         This letteris notintended  as a fulland complete  statement of allrelevant factsand  claims. This
                 lettershallnot be construed  as a waiver of any of ourrights, claims or defenses, allofwhich  are expressly
                 reserved. Without  inany  way  limiting the generalityof the foregoing, we reserve  theright toidentify
                 additional breaches ofrepresentations  and warranties respecting  theSubject  Loans, and to identifyother
                 Mortgage  Loans  with respect to which  the Sponsor may  have  breached one  or more of the representations
                 and warranties contained  in thetransaction documents.   Please note thatthe materials included  inthe
                 enclosed CDs  may  contain information  thatconstitutes nonpublic personal  information and consequently
                 are encrypted. You  willreceive  thenecessary  passwords  forthese CDs  in a separate communication.
                 You  are directedto maintain  theprivacy  of such information in accordance  with allapplicable laws  and
                 regulations, including,but not limited to,the Gramm-Leach-Bliley    Act, and  touse thisinformation  solely
                 in connection with making   a repurchase request with respect to the Subject Loans.
