of Highland Avenue in the Town of Brighton, Monroe County, New

New York Central Railroad Auburn branch right of way, (the
"Property"); and
WHEREAS, Daniele is the owner of a parcel of land known
as 2740 Monroe Avenue in the Town of Brighton, Monroe County»- Ne.w

known as 2750 Monroe Avenue, tax map number 150.070-0002-008.100
("Clover Lanes Properfcy"), the eastern boundary of which adjoins
the Property (the Executive Square 1 Property, the Executive
Square 2 Property and the Clover Lanes Property are collectively
called the "Morgenstern Property"); and
WHEREAS, the portion of the Property between Allen'B
Creek Road and the easterly extension of the southern property
llne of the Clover Lanes Property is being subdivided into three
lots and transferred by RG&E to Executlve Square, Daniele and
Clover Lanes, as shown on Exhi.bit A attached hereto and made a
part hereof, which lots are referred to herein and on Exhibit A
as "Parcel A," "Parcel B" and "Parcel C;" and
WHEREAS, in connection with the aforementioned
transfers, Executive Square, Clover Lanes and Daniele desire to
obtain, and Grantor is willing to grant, an access easement over
part of the Property as described below for access to Allen's

NOW, THEREFORE, in consideration of mutual covenants
contained herein, and other good and valuable consideration, the

individually, shall have the right to construct a road on all of
the Easement Premises, which road shall be approximately 10 feefc
wide, and the easterly boundary of said road shall be at least
five (5) feet to tho west from Grantor's existing elecfcric pole
line (the "Road"). The part-y undertaking consfcruction shall
build fche Road according to reasonable specifications and the
specifications and quality of the Road shall be the same through
out the entire distance of the Road. The party undertaking
construction shall nob unreasonably interfere with the other
party's or fche Grantor's use of the Easement Premises during
construction.
The party undertaking consbruction shall submit all
plans and specifications for construction of the Road or
modifications of the Road to Grantor at 89 Easfc Avenue,
Rochester, New York, Attn: Real Estate Uirector at least thirfcy

The party underfcaking consfcrucfcion shall have no obligation to
submit plans to any other party. Grantor sliall have the right
to require changes in such plans and specifications to the extent
it reasonably deems changes necessary. No approval required
hereunder shall be unreasonably withheld or delayed. Grantor
requires said plans and specificafcions in order to: (a) determine
and advise Daniele, Clover Lanes and/or Executive Square of
conflicts with Grantor's present or planned utility facilities
and (b) have fchem available to assist Grantor in its fubure use
