CONSTRUCTION CONTRACT
This Construction Contract (the "Contract") is made as of this_23rd day of January 2020, by and
between Hearthstone Property Maintenance Inc. who desires to provide Construction
services to Rebecca & Jeremy Glick and Rebecca & Jeremy Glick desires to obtain such
services from Hearthstone Property Maintenance Inc.
WITNESSETH:
In consideration for the mutual promises set forth below, the parties agree as follows:
1) Scope of Work
Hearthstone Property Maintenance inc will provide allmaterials included in pricing, services, and
labor for the construction of Home Renovations from Drawings All pricing based on drawing by ben
fuqua architect named -property-1 1 forest philipstown Ny. owners - rebecca & glick,
lane, jeremy
For repairs listed as construction document guest house allpages and elevations. For
new construction home all pricing based on drawing listedas construction document -guest
house plans and elevations A-101.00. Also pricing provided in Invoice #1029
from Hearthstone Property maintenance Inc. pricing includes all labor, allmaterials unless other than
items listed in estimate provided as not included. Also original and most updated
drawing items listed as (owner supplied items) not included.
This includes necessary labor and site security, building and construction materials, and all required
tools and machinery needed for completion of construction.
2) Contract Price
The owner shall pay Hearthstone Property Maintenance Inc the sum of 656,565.88 dollars ($ ) for
the material and labor to be performed under the Contract, subject to any additions and/or
deductions made pursuant to authorized change orders.
3) Completion Time
The parties agree that time is ofthe essence, and therefore the work to be performed under

be substantially completed on or before the 31st day of august , 2020.
Payments of the Contract price shall be paid in the following manner:

If Rebecca & Jeremy Glick fails to pay for the services when due,
Hearthstone Property Maintenance Inc has the option to treat such failure to pay as a material breach
of this Contract, and may seek legal remedies and/or cancel this Contract.
5) Cotopliance
Hearthstone Property Maintenance Inc shall provide the Services in a workmanlike manner, and
in compliance with all applicable federal, state and local laws and regulations, including, but not
limited to all provisions of the Americans with Disabilities Act, the Fair Labor Standards Act, and
the Federal Family and Medical Leave Act.
6) Insurance
Hearthstone Property Maintenance Inc warrants itis adequately insured for
injury to its employees and any others incurring loss or injury as a result of the acts of Contractor or
itsemployees and subcontractors.
7) Subcontractors
Hearthstone Property Maintenance Inc may engage subcontractors to perform work at
itsdiscretion hereunder, provided Hearthstone Property Maintenance Inc shall fully pay said
subcontractor and in all instances remain responsible for the proper completion of this Contract.

8) Modifications
All changes to Services shall be in writing and signed by both Rebecca or Jeremy Glick and
Heartlistone Property Maintenance Inc. Any additional work or modifications can and will add
to length of project and extend the finishdate.
9) Arbitration
All disputes hereunder shall be resolved by binding arbitrationin accordance with the rules of
the American Arbitration Association.
10) Integration
This Contract contains the entireContract of the parties,and there are no other promises or
conditions in any other contract whether oralor written concerning the subject matter of
this Contract. Any amendments must be in writing and signed by each party. This Contract
supersedes any prior written or oral agreements between the parties.

J.S. Held LLC (J.S. Held) has been retained to inspect the referenced property and provide a detailed
estimate of damages which is attached hereto (Attachment A. Detailed Estimate of Damages). This is
an interim report and will discuss the following:
• Building Description
• Site Inspection

Building Description:
The referenced property is a two story and basement, prefabricated log walled, wood joisted, non-fire
resistive structure. Interior finishes include wood paneling, tile and drywall, wood and tile floors,
architectural grade original trim, standard grade cabinets, aluminum clad insulated glass windows and
original wood panel doors. Insulation was observed in the ceiling and floor structures. The building
has a first floor and a second floor. The second floor contains less floor area. This is due to a balcony
and an “open to below” area down to the first floor. There is a walk out basement, mechanical area and
a Gambrel roof design with metal roofing panels.
The building is reported to have been constructed in 1977 and renovated in 2019, there is no research
data available for any work conducted in between. Due to the age of the structure, asbestos and lead
are possible to be present in the structure, however no asbestos testing or lead testing survey results
were available as of inspection. Please see the satellite image of the property below:

Site Inspection:
J.S. Held inspected the site on Friday, September 6, 2019. The site inspection was attended by:
• Mr. Frank Antonucci- J.S. Held
• Mr. Edward Sandor-J.S. Held
Damages:
The fire started on the interior of the structure. Due to the extent of the fire damage and collapsed
structural members, the exact area of origin was not apparent. J.S.Held has not been retained to
identify the cause and origin of the fire and has limited their observations to direct building damages
resulting from the fire, smoke and water used to fight the fire.
All basement finishes and mechanical, electrical and plumbing will require 100% replacement. The
north, south, east and west CMU -masonry foundation walls will require 100% replacement. The steel
support beams and first floor faming will require 100% replacement.
The first-floor finishes, interior and exterior walls, windows and doors, mechanical, electrical, H.V.A.C.
and plumbing components will require 100% replacement.
The second-floor finishes, floor structure in its entirety, interior and exterior walls, windows and doors,
mechanical, electrical, H.V.A.C. and plumbing components will require 100% replacement.
The entire roof structure, metal roofing, skylights, fascia-soffit-overhang components, gutters and
leaders will require 100% replacement.

Emergency Services:
J.S. Held completed an initial site inspection on September 6, 2019. Prior to J.S. Held’s involvement
emergency services were completed by a contractor whom was retained by the Insured. The scopes of
services being completed are as follows:
• Board-up
• Make the property safe
J.S. Held has not received costs submitted by Contractor to date. Upon receipt and review, J.S. Held will
develop recommendations for your consideration.
Restoration Estimate:
Attached please find our detailed estimate of damages, dated November 19, 2019, totaling
$ 609,812.80, refer to attachment A. This estimate is based on like kind and quality as that which existed
at the time of the fire. The estimate does not include code upgrades. If code upgrade coverage is
provided, please contact the undersigned and we can conduct a review of the necessary, minimum code
upgrades to restore the insured to their pre-loss condition.
Architectural fees are not included in this estimate. We believe that 8% or less is customary for a
structure of this type. Approximately 1.5% will be required for building permits.
J.S. Held would recommend a repair duration of (5-6) months from the start of construction.
Summary:
Based on the information and documentation received and reviewed to date, J.S. Held would
recommend the following:
• Restoration Total $ 609,812.80
Path Forward Activities:
J.S. Held is currently completing the following scopes of services:
• Complete requested inspections and/or meetings
• Develop reporting as requested
• Add or delete items as required
All J.S. Held work product is subject to the insurance policy terms and conditions. J.S. Held opinions are
based on observable and/or identified site conditions. To the extent that hidden conditions exist and/or
additional information is made available, J.S. Held reserves the right to change or modify this report.
