AGREEMENT (this"Agreement') made and entered into as of the day of October 2020 by
and between Robinhood Properties L.L.C., a New York limited liability company with an
address at c/o Cor Holdings, LLC, 200 South Middle Neck Road, Unit 5,Great Neck, NY 11021,
Little Falls Garden Apartments LLC, a New York limited liabilitycompany with an address
at c/o Cor Holdings, LLC, 200 South Middle Neck Road, Unit 5, Great Neck, NY 11021, and
Brookview Town Houses LLC, a New York limited liabilitycompany with an address at c/o
Cor Holdings, LLC, 200 South Middle Neck Road, Unit 5, Great Neck, NY 11021(collectively
the "Mortgagor"). and of RealFi Real Estate Investment Trust LLC, a Delaware Series
Limited LiabilityCompany at itsoffices at 707 Westchester Avenue, Suite 305, White Plains,
New York 10604 (the "Mortgagee")
WITNESSETH:
WHEREAS, Mortgagee is the holder of the mortgage described in Exhibit A attached
hereto and made a part hereof (hereinafter referred to as the "Existing Mortgage"); and
WHEREAS, Mortgagee is theholder of the gap mortgage described in Exhibit B attached
hereto and made a part hereof (hereinafter referred to as the "Gap Mortgage"); and
WHEREAS, the Existing Mortgage and the Gap Mortgage are liens upon the real
property and improvements owned by the Mortgagor and known as and located at (i)759 East
Monroe Street Extension, City of Little Falls,County of Herkimer, State of New York, Section
115.45, Block 1, Lot 2.2; (ii)60 East Main Street, Town of Mohawk, Village of Fonda, County
of Montgomery, State of New York, Section 35.12, Block 3, Lot 23; and (iii).
97 Mettowee
Street, Town and Village of Granville, County of Washington, State of New York , Section
117.9, Block 1, Lot 32.2 , and allas more fullydescribed in Exhibit C attached hereto and made
a part hereof (hereinafter, collectively referred to as the "Land"); and
WHEREAS, Mortgagee and Mortgagor desire to (i)consolidate the liens of the Existing
Mortgage with the lienof the Gap Mortgage to fonn a single consolidated firstlien ashereinafter
provided, and (ii) to modify and extend the terms of the Existing Mortgage and the Gap
Mortgage, as consolidated.
NOW, THEREFORE, in consideration of the premises and for Ten Dollars ($10.00) and
other valuable consideration each to the other paid, the receipt of which ishereby acknowledged,
the parties hereto agree as follows:
1. Outstanding Indebtedness. Mortgagor represents, covenants and agrees that as of
the date hereof there is due and owing on the notes secured by the Existing Mortgage and the
Mortgage (which notes are described in Exhibit D attached hereto and made a part hereof

and hereinafter referred to herein individually as the "Existing and the "Gap Note",
respectively, and collectively as the "Notes"), the principal balance of $6,225,000.00, plus
accrued and unpaid interest and that as of the date hereof there are no claims, counterclaims,
offsets or defenses to the Existing Mortgage, the Gap Mortgage, the Notes or thisAgreement.
2. · Mortgage Consolidation. The Mortgage and the Mortgage and the
Existing Gap
respective liens thereof are hereby consolidated and combined so that together they shall
hereafter constitute in law but one firstmortgage and a single lien securing one principal sum of
$2,250,000.00, together with interest thereon as provided in a certain Consolidated Note (the
"Consolidated Note") of even date herewith between the Mortgagor and the Mortgagee upon the
Premises (as defined in the Governing Mortgage (defined below)), with the same force and effect
as if Mortgagee were the holder of a single firstmortgage, made and executed by Mortgagor,
covering the Premises, as security for the indebtedness due under the Notes.
3. No Release or Novation. This Agreement constitutes a consolidation, extension,
and modification of the Existing Mortgage and the Gap Mortgage and is not intended to and shall
not extinguish any of the indebtedness or obligations of Mortgagor under the Existing Note or
the Gap Note or any other loan document in connection therewith (collectively, the Existing
Note and loan documents are referred to herein as the "Existing Loan Documents") in such
manner as would constitute a release or novation of the original indebtedness or obligations of
Mortgagor under the Existing Loan Documents nor shall this Agreement affect or impair the
priority of any lien created thereby, itbeing the intention of the parties hereto to preserve all liens
and security interests securing the payment of the Notes, which liensand security interests are
acknowledged by Mortgagor to be valid and subsisting against the Premises. Mortgagor
acknowledges that it isindebted to Mortgagee in the amount of the unpaid principal balance
under the Notes, with interest,and does hereby covenant and agree to pay the same at the times
and in the manner provided in the Consolidated Note and thisAgreement.
4. Modification and Extension of Consolidated Mortgage. The terms, covenants and
provisions of the Existing Mortgage and the Gap Mortgage, as consolidated by thisAgreement,
are hereby modified, extended, amended and restated so that henceforth such terms, covenants
and provisiòns shall be those set forth in the form of Governing Mortgage annexed hereto and
made a part hereof as Exhibit E (the "Governing Mortgage"). The terms, covenants and
provisions of the Governing Mortgage supersede the terms, conditions and covenants contained
in the Existing Mortgage and the Gap Mortgage and the terms, conditions and covenants of the
Governing Mortgage shall in all events prevail and control. The terms and provisions of the
Governing Mortgage are hereby ratified and confirmed in all respects by Mortgagor. A
reference in any of the other documents, instruments and agreements executed and delivered in
connection with the loan secured by this Agreement which refer to a Mortgage dated on or about
the date hereof or a Note or Promissory Note dated on or about the date hereof or other similar
references (other than in the Gap Mortgage and/or the Gap Note, as the case may be) shall mean
and referto the Governing Mortgage or the Consolidated Note, as the context may require.
