CAUSE NO. 2016-86845 CAMERON RAINEY-ESFAHANI, IN DISTRICT COURT Individually and Derivatively on behalf of Nominal Defendant CONYERS INVESTMENTS, S.A., RICHARD GOULD, FRANCIS § 113th JUDICIAL DISTRICT BRUDERER, and CHRISTIAN § HARRIS COUNTY, TEXAS CONYERS INVESTMENTS, S.A. Nominal Defendant. JOINT MOTION FOR APPROVAL OF SETTLEMENT Plaintiff Cameron Rainey-Esfahani, individually and derivatively on behalf of Nominal Defendant Conyers Investments, S.A., and Defendant Richard Gould make this joint motion that the Court approve the settlement and discontinue the controversy under section 21.560 of the Texas Business Organizations Code. Plaintiff and Defendants Gould, Francis Bruderer, and Christian Bruderer ("Defendants,,)i have resolved all matters in dispute between them in connection with the above- captioned lawsuit. Accordingly, Plaintiff and Defendant Gould respectfully request that the Court dismiss all claims against all Defendants asserted by Plaintiff in this lawsuit with prejudice Defendants F. Bruderer and C. Bruderer have not been served with or appeared in this lawsuit, and therefore, do not join this Joint Motion. Both, however, have participated in good-faith negotiations resulting in the settlement between Plaintiff and Defendants.
