MOTION FOR PARTIAL SUMMARY JUDGMENT ON DAMAGES
Cergon, Inc. d/b/a Primo’s Bar & Grille (‘Primo’s”} and Edward P. Cervantes
(“Cervantes”) (collectively, the “Defendants”) file this Motion for Partial Summary Judgment on
Damages, and respectfully show the Court as follows:
1, This lawsuit arises from a dispute between Cheung-Loon, LLC (“Cheung-Loon”
or the “Plaintiff’) and Defendants with respect to a June 26, 2006 Commercial Lease Agreement
(the “Lease Agreement”) between them. Pursuant to the Lease Agreement, Primo’s (with
Cervantes as guarantor) received an exclusive lease from Plaintiff for the parking lot at 3321
McKinney Avenue, with additional rights for parking in a nearby lot at 3317 McKinney Avenue
(collectively, the “Leased Premises”). Despite representing to Primo’s and Cervantes that they
were obtaining an exclusive lease for the 3321 McKinney Avenue parking fot, Cheung-Loon
represented to its tenants at the 3317 McKinney Avenue building (and possibly others) that they
had the right to use the 3321 lot for their employees and patrons.
2. Asa result of Cheung-Loon’s representations, such tenants — who should not have
possessed any legal or contractual right to use this parking lot ~ utilized it to the exclusion of
Primo’s and Cervantes, the operators of a popular nearby restaurant. Because Primo’s and
Cervantes were unable, as a result of Cheung-Loon’s actions, to obtain the benefit of their
bargain, they made repeated requests on Cheung-Loon to stop this unauthorized use of their

valueless to Defendants, who were ultimately forced to rescind and terminate the Lease
Agreement.
3. Following Defendants’ termination of the Lease Agreement, Cheung-Loon
brought the present lawsuit. Presently, pursuant to a Tenant Ledger produced by Cheung-Loon
on the last day of discovery (January 14. 2013) before the previous trial setting in this case, a true
and correct copy of which is attached hereto for all purposes as Exhibit A, Cheung-Loon is
seeking more than $640,000 in actual damages in connection with an approximately
$6,600/month lease with only 37 months remaining on its term at the time of termination (which
would only total approximately $245.000 in potential damages).’
4. Setting aside for purposes of this motion certain dubious charges identified in
Cheung-Loon’s Tenant Ledger such as the $264 monthly management fee and the $200 monthly
landscaping charge for a concrete parking lot, the huge majority of Cheung-Loon’s alleged
damages are unenforceable penalties arising from its improper attempts to impose several
different late fees on Defendants after their termination of the Lease Agreement. Almost
humorously, such “damages” include a daily late fee of $25.00 calculated in a manner that
actually imposes this charge for every day until the Lease Premises were foreclosed upon, with
each allegedly late month being treated separately. Essentially, in addition to a one-time 10%
late charge, Cheung-Loon claims damages for 944 days of “late” rent at $25.00 per day for the
first month after termination (June 2008), 914 days of “late” rent for the second month (July
2008), 883 days of “late” rent for August 2008, and so on until its damage claims were halted.
' Pursuant to a foreclosure discussed below, Cheung-Loon’s right to receive rents for the Leased Premises was
actually terminated by the month of December 2010 (7 months before the Lease Agreement would have concluded
but for Cheung-Loon’s actions). meaning that only 30 months of the Lease Agreement are at issue in this lawsuit.

Defendants (even though the Lease Agreement would have long expired by now) had it not been
for the reality that the Leased Premises (along with several other properties formerly owned by
Cheung-Loon) were foreclosed upon in late 2010 or early 2011. Moreover, Cheung-Loon’s
Tenant Ledger identifies that it seeks damages for the month of December 2010 despite the
foreclosing party — United Heritage Credit Union (“United Heritage”) — having sent a November
30, 2010 letter to Cheung-Loon, a true and correct copy of which is attached hereto for all
purposes as Exhibit B, exercising its Deed of Trust rights requiring any rents paid after that date
to Cheung-Loon for the Leased Premises to be held in trust for the benefit of United Heritage.
Such an action by United Heritage effectively eviscerated Cheung-Loon’s right to allege
damages for rents after this date (which per the Tenant Ledger only appears to encompass the
alleged December 2010 damages).
A. Cheung-Loon’s attempts to impose various late charges as detailed in its Tenant
Ledger constitute an unenforceable penalty.
6. The basis for Cheung-Loon’s efforts to collect alleged “late charges” from
Defendants arises from paragraph 17.1 of the Lease Agreement, a true and correct copy of which
is attached hereto for all purposes as Exhibit C, that reads as follows:
17.1 Late Charges. Notwithstanding anything contained herein
to the contrary, in the event any installment of the Basic
Rental, or any other sums which become owing by Tenant
to Landlord under the provision hereof, is not received
within five (5) days after the due date therefore (without in
any way implying Landiord’s consent to such late
payments), Tenant, to the extent permitted by law, agrees to
pay, in addition to said installment of the Basic Rental or
such other sums owed, a late payment charge equal to ten
percent (10%) of the installment of the Basic Rental, or
such other sums owed, plus twenty five dollars ($25.00) per
day retroactive to the due date, it being understood that said
late payment charge shall constitute liquidated damages

the additional costs and expenses which Landiord presently
expects to incur in connection with the handling and
processing of late installment payments of the Basic Rental
and such other sums which become owing by Tenant to
Landlord hereunder.
Landlord and Tenant expressly covenant and agree that in
the event of any such late payment(s) by Tenant, the
damages so resulting to Landlord will be difficult to
ascertain precisely, and that the foregoing charge
constitutes a reasonable and good faith estimate by the
parties of the extent of such damages. Notwithstanding the
foregoing, said late charges shall not apply to any sums
which may have been advanced by Landlord to or for the
benefit of Tenant pursuant to the provisions of this Lease, it
being understood that such sums shall bear interest at the
maximum applicable rate permitted by law.
7. Despite Cheung-Loon’s efforts to rely upon this provision to impose two separate
types of oppressive “late charges” on Defendants, which are identified as “liquidated damages”
by the language from this paragraph of the Lease Agreement, Texas law precludes Cheung-Loon
from collecting the charges detailed in paragraph 17.1 because they constitute an unenforceable
penalty. Whether a contractual provision is an enforceable liquidated damages provision or an
unenforceable penalty is a question of law for the court. Phillips v. Phillips, 820 S.W.2d 785,
788 (Tex. 1991); Stewart v. Basey, 245 S.W.2d 484, 486 (Tex. 1952) (holding that a liquidated
damages provision compelling a tenant to pay into the thousands of dollars of damages for an
early lease termination where actual damages were substantially less constituted an
unenforceable penalty). To enforce a liquidated damages provision, a court must find that both
the harm caused by a contractual breach is incapable or difficult of estimation and the amount of
liquidated damages called for by the agreement is a reasonable forecast of just compensation.”
? The present motion only challenges the second prong of this test, though it is certainly an open question as to
whether any expenses incurred as a result of a jate lease payment are difficult to estimate.
PRIMO’S AND CERVANTES’ MOTION FOR PARTIAL SUMMARY JUBGMENT ON DAMAGES PAGESPhillips, 820 S.W.2d at 788 (holding that a liquidated damages provision calling for a party to
receive ten times its damages was unenforceable). Thus, in the event that Cheung-Loon’s actual
damages are disproportionate to the alleged late fees owed pursuant to Cheung-Loon’s Tenant
Ledger, paragraph 17.1 constitutes an unenforceable penalty provision as a matter of law. See
Phillips, 820 S.W.2d at 788-89; see Stewart, 245 S.W.2d at 486-87.
8. Here, the late charges assessed by paragraph 17.1 apply to jease payments of
approximately $6,600 a month, and require Primo’s to pay both a late fee of 10% of the monthly
rent and a charge of $25.00 per day each day the rent is late. Per the Tenant Ledger, Cheung-
Loon apparently believes that the $25.00 per day late fee possessed no cap and continued to
accrue without limitation. This calculation yields a sum that is significantly out of proportion to
any actual damages that could be claimed by Cheung-Loon and is in no way a “reasonable
forecast of just compensation.” For example, beginning in the first month in which Primo’s did
not pay the Lease Agreement following its termination (June 2008), Cheung-Loon’s Tenant
Ledger makes clear that it assessed against Defendants not only a 10% late fee but also a $25.00
daily fee for each day the June 2008 lease payment was not made, not ceasing until the
foreclosure eliminated Cheung-Loon’s rights in the Leased Premises. For the month of June
2008 alone then, Cheung-Loon’s Tenant Ledger asserts that Defendants owe it $25.00 late fees
for 944 days from June 1, 2008 through December 31, 2010 (a date near the time that the Leased
Premises was foreclosed upon), ending with a grand total of $23,600.00 in daily late fees for this
month alone. Almost more ridiculously, Cheung-Loon charged separate late fees to Defendants
for each subsequent month of rent that was not paid following what Defendants contend was a
rightful termination (i.e., the non-payments of rent in July 2008, then August 2008, and so on
were treated as “separate” breaches resulting in “separate” daily $25.00 late charges). As such,
PRIMO’S AND CERVANTES’ MOTION FOR PARTIAL SUMMARY JUOGMENT ON DAMAGES PAGE 5in the final month of the Tenant Ledger, Cheung-Loon had 31 months of $25.00 per day late fees
running each day against Defendants for a total of $24,025 in daily late fees (31 months of non-
payment x 31 days in the month of December 2010 x 25.00 per day).? Likewise, in November
2010, Cheung-Loon had 30 months of $25.00 daily late fees running each of the month’s 30 days
for a total of $22,500.00. In addition, it is important not to forget that Cheung-Loon had also
already imposed a one-time 10% charge on each month of “late” rent.
9. All in all, for the breach of an approximately $6,600 per month Lease Agreement
over a period of 31 months in dispute, Cheung-Loon has sought to assess late charges that total
well into the hundreds of thousands of dollars, as detailed in its Tenant Ledger. Quite frankly,
the idea that Cheung-Loon incurred hundreds of thousands of dollars in damages connected to
the “late” payment of rent (setting aside the fact that Defendants actually terminated the Lease
Agreement, Cheung-Loon possessed no expectation that rental payments would be made for a
parking lot Primo’s was not using, and Cheung-Loon’s lawsuit is centered upon its actual
damages related to the rental non-payment) is the pinnacle of absurdity and in no way a
“reasonable forecast of just compensation.” In fact, Cheung-Loon’s efforts to collect late
charges are nothing more than an unenforceable penalty, and summary judgment against the
multitude of late charges Cheung-Loon seeks to recovery is necessary and appropriate. See
Phillips, 820 S.W.2d at 788-89; see Stewart, 245 S.W.2d at 486-87.

2010.
10. As identified on Cheung-Loon’s Tenant Ledger, the last month for which this
Plaintiff seeks damages is December 2010." In fact, based upon the documents produced thus far
with respect to the foreclosure of the Leased Premises, Cheung-Loon’s right to claim pre-
foreclosure damages under the Lease Agreement was terminated one month earlier. As set forth
in Exhibit B, the lender for the properties which were foreclosed upon — United Heritage — issued
a letter to Cheung-Loon on November 30, 2010 stating the following:
Lender is entitled to possession of all rents from the properties
encumbered by the Deed of Trust as specified in Article V therein
as the same become due and payable. Any rents you receive from
this day forward are held by you as uustee for the lender only.
You are instructed to turn over all rents.
In essence, this correspondence eviscerated any rights Cheung-Loon would have possessed in
rents for the Leased Premises due and owing after this date, notably any rents allegedly owed in
December 2010. Such funds would have been owned by United Heritage, and Cheung-Loon was
merely a trustee acting for the benefit of United Heritage. As such, summary judgment
disposing of Cheung-Loon’s claim for damages in December 2010 is appropriate.
For the foregoing reasons, Defendants are entited to summary judgment against Cheung-
Loon in connection with “late” fees allegedly owed as liquidated damages and for any damages
allegedly incurred in December 2010. Defendants request all such other and further relief to
which they are justly entitled.
* Consistent with the damages set forth in the Tenant Ledger, conversations with Cheung-Loon’s counsel indicate
that it is Cheung-Loon’s position that no further alleged damages accrued upon the foreciosure of the Leased
Premises and Cheung-Loon’s loss of an ownership interest in the same.
