This action arises, inter alia, in the context of xxxxxxxx’s fraudulent
inducement, misrepresentations and other forms of deceit (as shall be more particularly
described below) that led Plaintiffs to deliver five hundred thousand dollars ($500,000) as
a good faith deposit to xxxxxxxx in connection with a business that never materialized. As
agreed, xxxxxxxx was required to maintain the funds in trust until the referenced business
was consummated. However, given that the business did not move forward (because of the
reasons that will be explained below), xxxxxxxx was required to return the funds forthwith
