Preliminary approval is generally the first of three steps that comprise the approval procedure for settlements of class actions. (See Manual for Complex Litigation, Fourth § 21.633 (2004); see also Tex. R. Civ. P. 42(e)(1)(B); Peters v. Blockbuster, Inc.(2001) 65 S.W.3d 295, 300 (affirming trial court’s distribution of settlement notice after the court had rigorously analyzed the settlement, but prior to final settlement approval hearing).) The second step is the dissemination of notice of the settlement. The third step is a final settlement approval hearing, at which evidence and argument concerning fairness, adequacy, and reasonableness of the settlement may be presented and class members may be heard regarding the settlement. (See Tex. R. Civ. P. 42(e)(C).)
The question presented on a motion for preliminary approval of a proposed class action settlement is whether the proposed settlement is meets the criteria for certification under Rule 42. (McAllen Med. Ctr. v. Cortez (2001) 66 S.W.3d 227, 232.)
Furthermore, the Court’s determination will necessarily involve a balancing of several factors which may include, among others, some or all of the following:
(Ball v. Farm & Home Sav. Ass’n (1998) 747 S.W.2d 420, 423.)
Rule 42(e)(1)(B) of the Texas Rules of Civil Procedure provides that “notice of the material terms of the proposed settlement...together with an explanation of when and how the members may elect to be excluded from the class, shall be given to all members in such manner as the court directs.” Compliance means notice given in a form and manner that does not systematically leave an identifiable group without notice. (Ball, 747 S.W.2d at 424, citing Mandujano v. Basic Vegetable Products, Inc.(1986) 541 F.2d 832, 835.) It must be given in a manner reasonably calculated under all the circumstances to apprise interested parties of the pending action and to afford them an opportunity to present their objections. (Mullane v.Central Hanover Bank & Trust Co.(1950) 339 U.S. 306, 314.) The notice must reasonably convey the required information, and it must afford a reasonable time for those interested to make their appearance. (Grunin v. International House of Pancakes (1974) 513 F.2d 114, 120.) The mechanics of the process of giving notice of a proposed settlement are left to the discretion of the court subject to the reasonableness standards imposed by due process. (Id. at 121.)
Texas Rule of Civil Procedure 42(e)(1)(C) provides that “the court may approve a settlement...that would bind class members only after a hearing and on finding that the settlement...is fair, reasonable, and adequate.” The purpose of judicial approval of class action settlements is to prevent fraud, collusion or unfairness to the class. (See In re Bluetooth HeadsetProds. Liability Litig. (2011) 654 F.3d 935, 940). Approval of a settlement in a class action, including the determination of whether it is fair and equitable, is left to the sound discretion of the trial court. (General Motors Corp. v. Bloyed (1996) 916 S.W.2d 949, 955.)
While the decision to approve or reject a proposed settlement is committed to the Court’s sound discretion, it has long been held that there is a strong judicial policy that favors settlement. (Class Plaintiffs v. City of Seattle (1992) 955 F.2d 1268, 1276. “A ‘voluntary conciliation and settlement are the preferred means of dispute resolution. This is especially true in complex class action litigation ....” (Officers for Justice v. Civil Serv. Comm’n (1982) 688 F.2d 615, 625.)
