FACTUAL BACKGROUND
This is an action for breach of contract and fraud. The First Amended Complaint (“FAC”) alleges as follows. Plaintiff Susannah O’Brien is the CEO of Plaintiff Sahara Vision Productions, LLC (collectively referred to as “O’Brien”). (FAC ¶¶ 1–2.) In November 2014, O’Brien met with Defendant John Richard Rogers (“Rogers”), who represented himself as an agent of Defendant Hannover House, Inc.
