I. Background

This lawsuit arises from a dispute over a software development project. WonderWorks Pte. Ltd. (“Plaintiff”) agreed to work as a subcontractor for Hewlett-Packard (M) Sdn. Bhd.2 (“HP Malaysia”) on a project to develop financial-reporting software for Malaysia’s central bank, Bank Negara Malaysia. (Second Amended Complaint (“SAC”), ¶¶ 17-20.) Before the software could be completed and launched, HP Malaysia and Bank Negara Malaysia agreed to terminate the project. (SAC, ¶ 45.) Plaintiff alleges HP Malaysia did not pay for all the work it did to develop the software for Bank Negara Malaysia, did not pay all licensing fees for the use of its own proprietary software during development, and did not follow through on a promise to spin off the software being developed into a cloud-based system that could be marketed to regulators and reporting entities worldwide for which it expected to earn millions of dollars in profits.
