Plaintiffs and Defendant Kamentsky formed a corporation to engage in a bail bonds business. Defendant Kamenetsky allegedly withdrew funds from the company’s bank account without authorization and excluded Plaintiff from his share of the company’s profits. Defendants have been using the company’s funds to operate Defendant’s separate and competing bail bonds business.

Defendants Leonid Kamenetsky, VIP Bail Bonds Corporation, and Tanya Kurlyand demur to the First Amended Complaint.

TENTATIVE RULING

Defendants Leonid Kamenetsky, VIP Bail Bonds Corporation, and Tanya Kurlyand’s demurrer to the First Amended Complaint is OVERRULED as to the second, sixth, and ninth causes of action and SUSTAINED without leave to amend as to the seventh and eighth causes of action.

Defendants are ordered to answer the remaining allegations of the First Amended Complaint within 10 days.
