Nature of Proceedings: Motion: for Preliminary Injunction

The complaint alleges as follows: Plaintiff Arc Vineyards LLC and Manfred and Jean Sander, as co-trustees of the Manfred and Jean Sander Revocable Trust (“Trust”) own abutting property. On September 22 and 23, 2014, Manfred and Jean Sander as co-trustees of the Trust and Madison Murphy on behalf of Arc Vineyards LLC executed an Option/Put Agreement (“Option Agreement”) with respect to two parcels owned by Trust: the “Farm Land” and the “Ranch Land.” Together, this was referred to as the “Property.” The Option Agreement states: “Arc desires to acquire the right to purchase the Property from Sander, and Sander desires to acquire the right to sell the property to Arc, at the price and under the specific terms and conditions below.” (Option Agreement, attached to Complaint as Exhibit 1, Recital “C”.)
