BACKGROUND

A. Allegations of the Operative Complaint

Plaintiff Cyrus G. Etemad (“Plaintiff”) alleges that he entered into a contract with Defendants Verj Sarkissian and Anoush Banquet Hall (“Defendants”) on August 15, 2008, whereby Plaintiff rented 40 parking spaces for himself and his customers. (Compl., ¶8, Ex. A [Parking Contract].) The term was from August 15, 2008 to February 27, 2009, and continued for 6-month terms unless one of the parties provided the other of cancellation at least 30 days prior to the end of each successive term. On June 24, 2011, the parties entered into the Parking Contract Amendment to extend the Parking Contract for 5 years until June 24, 2016; the amendment also gave Plaintiff the option to extend the term for a subsequent 5 years by giving notice to
