“In equity the general rule is that all persons having a material interest in the subject matter of the suit must be made parties. But, having been introduced for the purpose of justice, the rule will not be applied to accomplish its defeat, if, consistently with the merits of the case, the court can proceed to a decree as to the parties before it, even if other persons, who may be interested but over whom it does not possess jurisdiction, are absent.” (See Franks v. Markson (1958) 337 Mass. 278, 283.)
“It is a fundamental principle of equitable procedure that a court will not proceed to a final determination, which may affect third persons, without causing them to be made parties to the bill in order that after a hearing, at which they have had their day in court, their claims may be adjudicated." (See Lawrence v. Smith (1909) 2 01 Mass. 214, 215.) “This rule may not apply, however, when necessary parties, in contradistinction to indispensable parties, are not within the jurisdiction and cannot be brought before the court. In such cases, rather than to make no determination whatsoever, the court will proceed with those persons who are before it.&r (See Franks v. Markson (1958) 337 Mass. 278, 283.)
“If there be an omission of an indispensable party, so that a complete decree cannot be made without him, the court will itself, ex mero motu, take notice of the fact, and direct the cause to stand over, in order that such new party may be added; or dismiss the bill, when the plaintiff is chargeable with laches. In such cases, it must appear that the decree will have the effect of depriving the party omitted of his legal rights.” (See Case v. Minot (1921) 158 Mass. 577, 588. Sutcliffe v. Cawley, 240 Mass. 231, 239.)
“Where the defect is formal and technical merely, and is only objected to at the hearing, and especially if other parties are needed only for the defendant's protection, the decree will not be delayed if the nonjoinder produces no other prejudice to the rights of parties before the court.” (See id.)
“Further, Rule 13 (h) permits additional parties to be brought into the case if their presence is required for granting complete relief. The main purpose of this rule is to dispose of actions in their entirety and grant complete relief to all concerned parties. Therefore, in order to foster judicial economy and avoid multiplicity of litigation, courts construe this provision liberally.” (See Donovan Construction Company v. Dubner (1990) Mass. App. Div. 47, 49.)
“Rule 19(a) of the Massachusetts Rules of Civil Procedure generally provides that the category of "[p]ersons to be [j]oined if [f]easible" includes one whose absence would prevent complete relief from being afforded those already parties.” (See Mass. R.Civ.P. 19(a), 365 Mass. 765 (1974); Kitras v. Town of Aquinnah (2005) 64 Mass. App. Ct. 285, 290.)
“‘Necessary’ party usually meant a person whose joinder was required if service could be effected; an "indispensable" party had to be joined in any event on pain of dismissal of the action.” (See Clark, Code Pleading 360-362, 380-382 (2d ed. 1947); Manuel F. Spencer Son, Inc. v. Commonwealth (1983) 16 Mass. App. Ct. 290, 297 n.11.)
“A failure to join an indispensable party may be raised by the litigants upon motion or by the court sua sponte at any stage of the proceedings.” (See SMITH AND ZOBEL, RULES PRACTICES Vol. 7, § 19.6, pp. 35-36 [7 M.P.S. (1975)].) “An action may either be stayed until all necessary parties are served and introduced into the suit.” (See Russo v. Russo, 3 Mass. App. Ct. 364, 368, 369 (1975); or may be simply dismissed. See, e.g., Turner v. United Mineral Lands Corp. (1941) 308 Mass. 531, 538-539.)
“[A] person who is subject to service of process shall be joined as a party in the action if (1) in his absence complete relief cannot be accorded among those already parties, or (2) he claims an interest relating to the subject of the action and is so situated that the disposition of the action in his absence may (i) as a practical matter impair or impede his ability to protect that interest or (ii) leave any of the persons already parties subject to a substantial risk of incurring double, multiple, or otherwise inconsistent obligations by reason of his claimed interest. If he has not been so joined, the court shall order that he be made a party. If he should join as a plaintiff but refuses to do so, he may be made a defendant.”
(See Miller v. Cotter (2007) 448 Mass. 671, 685 [stating a judge may compel a party's joinder . . . where the party is necessary for a just adjudication.]; Doe v. XYZ Co. (2009) 75 Mass. App. Ct. 311, 319.)
“Further, rule 19(b) states that [i]f a person as described in subdivision (a)(1) . . . hereof cannot be made a party, the court shall determine whether in equity and good conscience the action should proceed among the parties before it, or should be dismissed, the absent person being thus regarded as indispensable. The difference between misjoinder and the failure to join an indispensable party, nonjoinder, has been discussed in relation to the cognate provisions of Fed.R.Civ.P. 19 and 21. Although Rule 21 applies to nonjoinder, the first sentence of the rule, which prohibits dismissal of the action, refers only to misjoinder and makes no reference to a failure to join a party. The sentence was worded in this fashion to avoid conflict with the provision in Rule 19 authorizing the dismissal of the action when 'in equity and good conscience' the action cannot proceed in the absence of one or more persons.” (See Hamilton v. Conservation Commission of Orleans (1981) 12 Mass. App. Ct. 359, 371-72.)
“However, the failure to join someone whose presence is desirable but not indispensable is not a ground for dismissal of the action under Rule 21. But when the absentee is regarded as indispensable under Rule 19(b), dismissal will be necessary. The court generally will afford plaintiff every opportunity to add the absentee to the suit before it will order dismissal of the action.” (See 7 Wright Miller, Federal Practice and Procedure § 1684, at 329-330, and see § 1686, and cases cited at n. 61 (1972); see also Smith Zobel, Rules Practice §§ 21.2 and 21.3 (1975); United States v. Swink (1941) 41 F. Supp. 98 101 [Rule 21 was not adopted to give relief to a plaintiff who sues the wrong party, but to a plaintiff who sues too many parties, or not enough parties.]; Hamilton v. Conservation Commission of Orleans (1981) 12 Mass. App. Ct. 359, 371-72.)
“Rule 19(a) permits a reviewing court to raise the "absence of an indispensable party . . . at any time . . . on its own motion.” (See Quabaug Rubber Co. v. Fabiano Shoe Co. (1977) 567 F.2d 154, 158 n. 4) [discussing cognate Federal rule, "the absence of an indispensable party may be raised at any time, even by a reviewing court on its own motion.]; Pickle v. International Oilfields Divers, Inc. (1986) 791 F.2d 1237, 1242), cert. denied, 479 U.S. 1059 (1987) (same). Southeastern Ins. v. Lumbermens Mut. Ins. Co. (1996) 423 Mass. 1008, 1010.)
“Counsel for each of the parties shall confer in advance of filing any motion, except motions governed by Rule 9A(d) and Standing Order 1-96, and make a good faith effort to narrow areas of disagreement to the fullest extent. Counsel for the party who intends to serve the motion shall be responsible for initiating the conference, which conference shall be by telephone or in person. All such motions shall include a certificate stating that the conference required by this Rule was held, together with the date and time of the conference and the names of all participating parties, or that the conference was not held despite reasonable efforts by the moving party to initiate the conference, setting forth the efforts made to speak by telephone or in person with opposing counsel. Motions unaccompanied by such certificate will be denied without prejudice to renew when accompanied by the required certificate.” (See Mass. R. Sup. Ct. 9C.)
It is well settled that pursuant to Mass.R.Civ.P. 21, 365 Mass. 767 (1974), “Misjoinder of parties is not ground for dismissal of an action. Parties may be dropped or added by order of the court on motion of any party or of its own initiative, after hearing, at any stage of the action and on such terms as are just.” (See McGovern v. McGovern, 14-P-585, at *8 n.9 (Mass. App. Ct. May 21, 2015.)
It is also well settled that pursuant to Mass.R.Civ.P. 24(a)(2), 365 Mass. 769 (1974), “when the applicant claims an interest relating to the property or transaction which is the subject of the action and he is so situated that the disposition of the action may as a practical matter impair or impede his ability to protect that interest, unless the applicant's interest is adequately represented by existing parties.” (See In re Guardianship of B.V.G. (2015) 27 N.E.3d 842, 848.)
