Open Book Account in California

What Is an Open Book Account?

A book account is a detailed statement constituting the principal record of transactions between a debtor and creditor arising out of a contractual relationship between the two. (Code Civ. Procedure, ยง 337a.)

The elements of a cause of action for open book account are:

  1. Plaintiff and Defendant had financial transactions,
  2. Plaintiff kept an account of the debits and credits involved in the transactions,
  3. Defendant owes Plaintiff money on the account and,
  4. the amount of money Defendant owes Plaintiff.

(CACI 372; see also CCP ยง 337a; Tsemetzin v. Coast Federal Savings & Loan Assn. (1997) 57 Cal. App. 4th 1334, 1343.)

โ€œA book account may furnish the basis for an action on a common count when it contains a statement of the debits and credits of the transactions involved completely enough to supply evidence from which it can be reasonably determined what amount is due to the claimant. A book account is described as โ€˜openโ€™ when the debtor has made some payment on the account, leaving a balance due.โ€ (Interstate Group Administrators, Inc. v. Cravens, Dargan & Co. (1985) 174 Cal.App.3d 700, 708.)

In its opposition, Plaintiff concedes that all causes of action other than the Open Book Account should be dismissed with prejudice. Plaintiff argues that its cause of action for Open Book Account should not be dismissed because the court overruled Defendantsโ€™ demurrer as to this cause of action. Plaintiff is incorrect. The court overruled the demurrer to the Open Book Account as to defendant Jobbers Wholesale, Inc., but sustained it as to defendant George Toubbeh.
